Who can file

What drafts from your data

Governance and related-party sections draft from submitted D&O questionnaire answers and the insider roster, with placeholders where data is missing. The beneficial ownership table generates deterministically from insider records, beneficial owners, and shares outstanding. Compensation tables are completed from company records you enter: the platform stores no pay amounts, and the AI never invents figures.

Meeting details and the 14C legend

Enter meeting details yourself: the meeting date (label the time ET when a time of day appears), record date, and location. A DEF 14C or PRE 14C notice carries the required legend that the company is not asking for a proxy.

Filing a DEF 14A or DEF 14C satisfies the Part III proxy calendar entry. Proxy and information statements skip auditor review and move from internal review to counsel review. The counsel gate still applies before EDGAR submission.

Pay versus performance tagging

When a DEF 14A or DEF 14C includes executive compensation disclosure, complete the guided pay versus performance intake. For smaller reporting companies, enter up to three fiscal years: PEO summary compensation table total, compensation actually paid, non-PEO NEO averages, total shareholder return on a fixed $100 investment, net income, relationship narratives, and award timing and insider trading policy confirmations. Amounts come from company records; nothing is estimated.
