Register with Form 10

File Form 10 to become an SEC reporting company under Section 12(g) or 12(b), with AI-drafted sections, an audit report before counsel, and the 12(g) 60-day effectiveness clock.

What Form 10 does

Form 10 registers a class of securities under the Securities Exchange Act of 1934 so a private or alternative-reporting company becomes an SEC reporting company. Choose 10-12G for Section 12(g) (OTC or no exchange) or 10-12B for Section 12(b) (exchange listing). TakePublic drafts the self-contained document shape used by small-company filers; the spin-off wrap with an Exhibit 99.1 information statement is not supported.

What the platform drafts

TakePublic drafts business, risk factors, MD&A, and financial statement tables from the connected books; security ownership from insider and beneficial-owner records; and directors and related-party sections from D&O questionnaires and the insider roster.

What the company completes

Your team completes compensation tables, the description of securities, indemnification of directors and officers, and the recent sales of unregistered securities table (a three-year lookback; Form D filings on the platform are a source for that table). Amounts come from company records; nothing is estimated.

Audit report before counsel

Form 10 carries audited financial statements with the PCAOB opinion in the document body. Attach the audit report before clearing auditor review. No auditor consent exhibit is required; Form 10 is a 1934 Act filing, not a Securities Act registration.

Effectiveness and reporting

A Section 12(g) Form 10 becomes effective automatically 60 calendar days after the original filing by lapse of time under Section 12(g)(1). Exchange Act reporting obligations begin at effectiveness.

A Section 12(b) filing becomes effective after exchange certification, not on the 60-day clock. Amendment rounds responding to SEC comments are normal.

  1. Update the registration basis in Settings when the registration is effective.
Note

You may withdraw the registration before effectiveness if comments remain open.

Counsel gate

A licensed securities attorney must sign off on the exact document before anything submits to EDGAR. TakePublic is a technology platform, not a law firm; whether Form 10 is the right registration path for your company is a question for your securities counsel.
