The ongoing reporting cycle

A Regulation A Tier 2 issuer has its own ongoing reporting cycle instead of the 10-K and 10-Q calendar used by Exchange Act reporting companies.

  • Form 1-K: annual report due 120 calendar days after fiscal year end, computed in ET.
  • Form 1-SA: semiannual report due 90 calendar days after the first six-month period end, computed in ET. Interim financial statements may be unaudited.
  • Form 1-U: current report due 4 business days after the triggering event, computed in ET.

Reg A plan price

Reg A is $749 per month plus a one-time $1500 onboarding fee. The plan covers the full Regulation A reporting cycle.

  1. Choose Reg A in Settings > Billing.
  2. Complete checkout through Stripe.
  3. Confirm the fiscal year end and reporting periods on the Compliance calendar.

Review and filing

Each filing moves through internal review and counsel review before submission. A 1-K also requires audited annual financial statements and auditor review. A 1-SA may use unaudited interim financial statements.
