File a Form 1-SA

Draft the semiannual Regulation A Tier 2 report, review the interim financials, obtain counsel sign-off, and file through EDGAR.

Semiannual report and deadline

Form 1-SA covers the first six months of the fiscal year for a Regulation A Tier 2 issuer. It is due 90 calendar days after the six-month period end, with the deadline computed in ET.

Note

Interim financial statements may be unaudited.

Create and draft the filing

TakePublic drafts the narrative from your connected books, company profile, and prior filings. Financial statement figures come directly from the ledger-backed interim statements.

  1. Open Filings and create a Form 1-SA for the semiannual period.
  2. Confirm the period end and connected books.
  3. Generate the draft and review every section and citation.

Review and sign-off

A 1-SA with unaudited interim financials moves from internal review to counsel review. Your company may still involve its auditor when the facts or review process call for it.

  1. Complete internal review and resolve open comments.
  2. Send the filing to counsel review.
  3. Have a licensed securities attorney sign off on the exact document.

File through EDGAR

After counsel signs, a company admin can submit with verified EDGAR credentials. EDGAR acceptance satisfies the linked 1-SA calendar deadline.
