Annual report and deadline

Form 1-K is the annual report for a Regulation A Tier 2 issuer. It is due 120 calendar days after fiscal year end, with the deadline computed in ET.

Note

The 1-K must include audited annual financial statements.

File through EDGAR

After counsel signs, a company admin can submit with verified EDGAR credentials. EDGAR acceptance satisfies the linked 1-K calendar deadline.
