File Form 15 to deregister

Create and track the matching Form 15 variant, author the certification manually, and obtain counsel sign-off.

When Form 15 may apply

A common eligibility path is fewer than 300 holders of record for the covered class of securities. Your company and counsel confirm the holder count, registration history, and every other eligibility condition before filing.

Choose the matching variant

The filing type must match the basis for the reporting obligation.

  • Form 15-12B: termination tied to a class registered under Section 12(b).
  • Form 15-12G: termination of registration under Section 12(g).
  • Form 15-15D: suspension of the reporting duty under Section 15(d).

What happens after filing

Filing Form 15 suspends the covered periodic reporting duties while the termination or suspension takes effect under the applicable rule. Obligations outside the certification may continue, and Section 15(d) duties can resume if the statutory conditions are no longer met.
