Register a class with Form 8-A

Create and track Form 8-A, author its sections manually, and obtain counsel sign-off.

What Form 8-A does

Form 8-A registers a class of securities under the Exchange Act using a shorter registration statement that incorporates other filed disclosure. It is often part of an uplisting from OTC to a national securities exchange.

Note

The exchange application and listing approval are separate from the EDGAR filing.

Choose the registration basis

Choose the variant that matches the registration path.

  • Form 8-A12B: registers the class under Section 12(b) for an exchange listing.
  • Form 8-A12G: registers the class under Section 12(g).

Prepare the filing in TakePublic

Create the matching variant and author both filing sections manually in the filing workspace. TakePublic tracks the filing on the Compliance calendar and routes the completed content through review.

  1. Open Filings and create Form 8-A12B or Form 8-A12G.
  2. Author the description of securities and exhibit content in the editable sections.
  3. Attach the required exhibits and review the filing in internal review.
  4. Send it to counsel review and obtain sign-off on the exact document.
  5. Export the completed filing or use a filing path supported for the Form 8-A variant. Live EDGAR submission is not currently enabled for Form 8-A.

Update the company profile

When the registration becomes effective, update the registration basis and exchange in Settings so the compliance calendar schedules the obligations that now apply.
