SEC filings
Form 10-K is the comprehensive annual report every US SEC-reporting company files: audited financial statements, MD&A, risk factors, controls, and the officer certifications behind them.
TakePublic drafts the 10-K from your connected books, routes it through your auditor and your securities attorney, and files it to EDGAR. Nothing files without that attorney's sign-off on the exact document.
The due date is set by your filer status and runs from your fiscal year end. Due dates falling on a weekend or SEC holiday roll forward to the next business day, and EDGAR deadlines run on Eastern Time (ET).
| Filer status | Deadline after fiscal year end |
|---|---|
| Large accelerated filer | 60 calendar days |
| Accelerated filer | 75 calendar days |
| Non-accelerated filer | 90 calendar days |
Weekend and SEC holiday due dates roll to the next business day. All deadlines ET.
If the 10-K will not be ready on time, Rule 12b-25 lets you file a Form NT 10-K no later than one business day after the due date.
AI drafts the narrative sections from your trial balance, onboarding answers, and prior filings, with every sentence traceable to its source. Your ledger supplies the numbers; the model reads summary and flux figures but never generates a statement figure.
A tie-out report runs on every draft: balance sheet ties, income statement consistency, cash flow reconciliation, equity roll-forward, and EPS inputs.
The 10-K cannot skip your PCAOB auditor. It cannot leave auditor review until the audit report, plus the Exhibit 23 consent when required, is attached.
A director must record the board's approval of the audited financial statements against the exact document hash before the 10-K can be filed. The board acts under the company's bylaws and state law; TakePublic records evidence of that action. Invite a director before the deadline. Both the principal executive and principal financial officers authenticate their Exhibit 31 and 32 certifications against that hash. Your securities attorney signs off on the SHA-256 hash, and any later edit forces a re-review.
After sign-off, submit to EDGAR through TakePublic with Inline XBRL included, or export the filing package to your own EDGAR agent.

60 calendar days after fiscal year end for large accelerated filers, 75 for accelerated filers, and 90 for non-accelerated filers. Due dates on a weekend or SEC holiday roll to the next business day. All deadlines ET.
A late 10-K makes the company delinquent: it can suspend Form S-3 shelf eligibility, jeopardize exchange listing or OTC market tier status, and it stays visible on EDGAR. Filing a Form NT 10-K within one business day of the due date buys 15 calendar days.
No. Your PCAOB audit stays with your audit firm. TakePublic gives your auditor a seat in the workflow: the 10-K routes through auditor review and cannot proceed until the audit report is attached.
