SEC filings

Amendments (/A filings)

An amendment corrects or updates a prior filing: 10-K/A, 10-Q/A, and 8-K/A for company reports, and Forms 3/A, 4/A, and 5/A for Section 16 ownership statements. Amendments have no separate statutory calendar deadline in TakePublic's rules engine; you open them when a correction is needed.

TakePublic drafts the amendment in the workspace, requires your securities attorney to sign off on the exact document, and can submit these amendment types live to EDGAR. Amendments skip the mandatory auditor detour, but a restatement amendment can still route through auditor review by choice.

When amendments are due

Unlike the original 10-K, 10-Q, 8-K, or Form 4 clocks, amendments do not create or satisfy a compliance-calendar obligation with a statutory due date in TakePublic's deadline math. File when counsel determines a correction or update is required. Track internal targets in Eastern Time (ET).

No statutory amendment deadline in the rules engine. Weekend and holiday roll rules still apply to the underlying original-form clocks when those originals are due.

How TakePublic handles amendments

01 DRAFTDraft the amendment
02 SIGNCounsel signs
03 FILEFiled to EDGAR
01

Create the amendment

Start from the Filings page for a periodic or current report, 10-K/A, 10-Q/A, or 8-K/A, or a Section 16 form, Forms 3/A, 4/A, or 5/A.

02

Link and explain

Optionally link to the original filing on the platform to prefill sections. Section 16 amendments can copy insider transactions. The first section is an explanatory note describing what is amended.

03

Record counsel sign-off

Your securities attorney signs off on the exact document hash before submission, the same counsel gate as every other filing.

04

File or export

After sign-off, submit to EDGAR through TakePublic because these amendment types are live-verified, or export to your own EDGAR agent.

05

Preserve ownership filing detail

Ownership amendments transmit with EDGAR types 3/A, 4/A, or 5/A and carry the original submission date when the original is on the platform.

Frequently asked questions

Do amendments have a statutory due date?

TakePublic's rules engine does not assign a statutory calendar deadline to amendments. File when a correction is required. The due date shown on an amendment record reflects when you started it and does not create a calendar entry.

Do amendments require auditor review?

Not mandatorily. Amendments skip the required auditor detour that original 10-K and 10-Q filings take. You can still send an amendment through auditor review by choice, for example on a restatement.

Can TakePublic submit amendments live to EDGAR?

Yes for 10-K/A, 10-Q/A, 8-K/A, and Forms 3/A, 4/A, and 5/A. Those types are on the live-verified list after counsel sign-off.

Who signs off before an amendment files?

Your securities attorney signs off on the exact document hash. TakePublic is not a law firm.

Which plan covers amendments?

Company-report amendments sit with Core. Section 16 amendments (Forms 3/A, 4/A, 5/A) sit with the Section 16 plan's Forms 3, 4, and 5 workflow, or with Core when you already have every form type unlocked.
