TakePublic for board directors

Directors do not draft filings, and they should not chase PDF attachments to prove the audit committee approved the audited financials. When approval matters, it has to bind to the exact document that files.

The director seat is read-only on company data, with one write capability: recording the board's approval against the document hash on the 10-K and DEF 14A. The board acts under the company's bylaws and state law; TakePublic records evidence of that action. Any later edit invalidates the recorded approval.

Which filings need board approval on TakePublic?

A director must record the board's approval against the exact document hash before a 10-K or DEF 14A can be filed. This gate is unconditional, so invite a director before the deadline. The board's action itself happens under the company's bylaws and state law.

What if the company edits after I approve?

The document hash changes, your approval is invalid, and the filing cannot proceed past signed_off until a matching approval is recorded again.

Can directors submit filings to EDGAR?

No. Directors cannot draft, sign off, or submit. Submission stays with a company admin after counsel sign-off.

Is the approval in the audit trail?

Yes. Board approvals are recorded against the document hash and written into the append-only, hash-chained audit log.
