Frequently asked questions

When is a Form 4 due?

Two business days after the transaction date. A due date on a weekend or SEC holiday rolls to the next business day. All deadlines ET.

What transactions require a Form 4?

Most changes in beneficial ownership by Section 16 insiders, including purchases, sales, option exercises, and equity grants. Whether a transaction qualifies for delayed reporting on Form 5 is a question for securities counsel.

Can Monitor file Form 4s?

Monitor tracks Form 4 deadlines and the insider roster but does not draft or file. The Section 16 plan adds drafting, your designated reviewer's sign-off, and EDGAR filing for Forms 3, 4, and 5.

Who signs off before the Form 4 files?

For a Form 4 drafted here, your securities attorney, on the exact document version. A Form 4 your law firm already prepared files on the company's confirmation that it was reviewed and signed. TakePublic is not a law firm and does not advise whether a transaction is reportable.

Which plan covers Form 4?

The Section 16 plan, $999 per month: Forms 3, 4, and 5 drafted, signed by counsel, and filed.

TakePublic is a technology platform, not a law firm, broker-dealer, or auditor. Forms 3, 4 and 5 prepared in TakePublic file only after the reviewer the company designates, such as its securities counsel, signs off; any other filing prepared in TakePublic files only after a licensed securities attorney signs off.
