Counsel sign-offs, officer certifications, board approvals and reporting-person signatures completed through TakePublic are electronic signatures under the federal E-SIGN Act and applicable state UETA laws. Before an act that is recorded as a signature, the signer agrees to the consent statement below; the statement and its version are stored with the signature. This page is the public record of every version.
Shown at the consent checkbox on the emailed counsel sign-off page, quoted in full:
I agree to sign electronically and to receive records electronically. I understand that my typed signature is the legal equivalent of my handwritten signature under the federal E-SIGN Act and applicable state UETA laws, and that I can download a copy of what I sign.
In effect from September 16, 2026. A changed statement gets a new version; a signature keeps the text it was signed under.
The signer's typed name in the SEC's conformed form ("/s/ Name"), the SHA-256 hash of the exact document signed, the signing time in Eastern Time and UTC, the consent statement and its version, and, for a signature made without an account, the verified email address, IP address and browser. Every record is on the company's append-only audit chain.
A signer can download a copy of what they signed from the same link for 30 days and receives a confirmation email carrying the document hash. Consent applies to the act it is given for; to sign on paper instead, or to withdraw consent for a future act, contact the company that sent the request or hello@takepublic.com.
