What OTC Markets requires
- Management certificationThrough OTCIQ, concurrently with the annual report and no later than 45 calendar days after the annual report due date (OTCQX Rules, section 2.2(E)).
- Verified profileVerified and updated through OTCIQ at least once every six months (section 2.2(F)).
- Annual fee$26,880, assessed for the twelve months beginning each January 1 and due by December 1 of the prior year (section 3(B)).
- Continued eligibilityA $0.10 minimum bid ($1.00 for banks) on at least one of every 30 consecutive calendar days, market capitalization of at least $10 million on the same test, two market makers, and an annual shareholder meeting each calendar year (section 2.1).
12(g) versus 15(d)
- Section 12(g)10-K, 10-Q and 8-K, plus Section 16, the proxy rules and Schedules 13D and 13G, so directors, officers and 10% holders owe Forms 3, 4 and 5.

Frequently asked questions
When is the OTCQX management certification due?
Concurrently with your annual report, and no later than 45 calendar days after the annual report due date, rolled off weekends and SEC holidays. All deadlines ET.
How often must an OTCQX company verify its OTCIQ profile?
At least once every six months under section 2.2(F) of the OTCQX Rules. TakePublic tracks both dates each year.
What does OTCQX cost?
The Corporate Services Fee Schedule lists a $26,880 annual fee and a $6,000 application fee. The annual fee covers the calendar year and is due by December 1 of the prior year.
Do our insiders file Forms 3, 4 and 5?
If your equity is registered under Section 12(g), yes. If you report only under Section 15(d), Section 16 does not apply. Your 10-K cover shows which.
