What is an OTC alternative reporting company?

A company quoted on OTC Markets that discloses through the OTC Disclosure & News Service under the OTCID Disclosure Guidelines instead of filing with the SEC. It is not an SEC registrant.

What does Rule 15c2-11 require?

That a broker-dealer have current, publicly available information about the issuer before publishing a quotation: the latest required SEC annual report for a reporting company, or the paragraph (b)(5) information, including a balance sheet less than 16 months old, for a non-reporter.

What happens when the information goes stale?

Brokers lose the ability to publish public quotes and OTC Markets moves the security to the Expert Market, where quotes are not shown to the public.

Why is nothing on EDGAR for these companies?

None of the three reporting triggers applies: no listed class under 12(b), no widely held class registered under 12(g), and no effective Securities Act registration statement for 15(d).

Can an alternative reporting company use TakePublic?

Not until it is an SEC registrant. TakePublic needs a domestic EDGAR history to build the Company calendar and health score.
