Two kinds of letters

When the SEC staff reviews a filing, it may send the company a comment letter asking for more information or revised disclosure. EDGAR files the staff's letter under submission type UPLOAD.

The company answers with a response letter, filed under submission type CORRESP. A review can take several rounds, so one filing may carry several staff letters and responses.

When they become public

Comment letters and responses are not public while the review is open. The SEC publishes them on EDGAR after the review closes, no earlier than 20 business days after it is complete.

The SEC reviews every reporting company at least once every three years, and a review can close without any letter. Years with nothing published are the normal state, not a gap.

Note

Only correspondence the SEC has published appears in TakePublic. An open review shows nothing here until the SEC releases the letters.

View or download

Settings › Company, Correspondence, lists the published letters and responses from the last 4 years, newest first, and the most recent review in full however old.

A letter's name opens it on EDGAR. Each row saves a PDF copy or EDGAR's Original file, and Download all as PDF saves every listed letter as a separate file.

Note

TakePublic is a technology platform, not a law firm. How to respond to a comment letter is a question for the company's securities counsel.

TakePublic is a technology platform, not a law firm, broker-dealer, or auditor. Forms 3, 4 and 5 prepared in TakePublic file only after the reviewer the company designates, such as its securities counsel, signs off; any other filing prepared in TakePublic files only after a licensed securities attorney signs off.
