What the SEC requires

Once a year, one of the company's EDGAR account administrators confirms on the EDGAR Filer Management dashboard that the account's people, delegations and information are accurate; TakePublic cannot do this for you.

Rule: Rule 10(d)(4) of Regulation S-T. A delegated filing agent cannot perform the confirmation.

Deadline: the quarter end the company selected (March 31, June 30, September 30 or December 31), or the next business day when EDGAR is closed.

  • The due date is displayed at the top of the company's filer dashboard; EDGAR emails the account administrators from six weeks out.
  • Confirming early in another quarter moves the deadline: the next one is one year after the end of the quarter you confirmed in.

Steps on the SEC dashboard

From the SEC's guide Complete Annual Confirmation for an EDGAR Account; an account administrator does this in EDGAR Filer Management, not in TakePublic.

  1. Sign in to EDGAR Filer Management with Login.gov as an account administrator for the company.
  2. Under My Accounts, select the company to open its filer dashboard.
  3. Review Account Details, Manage Individuals, and Manage Delegations and User Groups; correct anything inaccurate.
  4. Select Annual Confirmation at the top of the dashboard, then Proceed to Confirmation.
  5. Read both prompts and select I confirm on behalf of the filer.

If the date is missed

A missed date costs three months of grace, then the account is deactivated.

  • Three months of grace with full access; EDGAR sends the account administrators a reminder every business day.
  • After the grace period EDGAR deactivates the account. Nothing can be filed until a new Form ID is granted; the CIK and filing history are kept, but every user and delegation must be re-invited.

What TakePublic does

TakePublic tracks the due date, reminds you 30, 7 and 1 days before it, and records the confirmation. Once the company has delegated to TakePublic, the due date is read from EDGAR's own account record and shows as From EDGAR on Settings › EDGAR › Yearly EDGAR check-in; before that, a company admin picks it in the card's Due date field, and the record shows who entered it and when.

After an account administrator confirms on the SEC dashboard, Mark as done (on the card, or on the calendar's Confirm EDGAR account row) records the date, sets the next due date from it and writes the confirmation to the audit log.

Note

Choosing Not set removes TakePublic's pending reminders only; the SEC requirement still applies.
