EDGAR operating hours

EDGAR accepts submissions from 6:00 AM to 10:00 PM ET on business days and is closed on weekends and federal holidays (EDGAR Filer Manual, Volume II).

TakePublic queues submissions made while EDGAR is closed and transmits them when it reopens.

How filing dates are assigned

  • Most submissions accepted by 5:30 PM ET receive that business day's filing date; after 5:30 PM ET, the next business day's (Regulation S-T Rule 13(a)(1)).
  • Form 3, Form 4, Form 5, and Schedules 13D and 13G receive the same business day's filing date when accepted by 10:00 PM ET (Rule 13(a)(4)).
  • Example: a 10-Q transmitted at 6:00 PM ET on its due date receives the next business day's filing date and is late.

EDGAR accepting a submission is not the same as the filing being timely.

What to do

Submit early on the due date and watch the notice next to the Submit to EDGAR button: it shows whether EDGAR is open and which filing date a submission would receive.
