What gets imported

TakePublic reads the Forms 3, 4, and 5 (and amendments) already filed against your company and turns them into roster entries and transaction ledger rows.

Each row is tagged with the filing's accession number so re-runs never duplicate anything. Reporting persons are named in title case from EDGAR's filed name, which stays on the record; a roster entry you added by hand with no CIK takes the filed CIK when the names match, marked for you to confirm.

Beneficial ownership schedules (Schedule 13D and Schedule 13G) are imported separately to fill the beneficial owners roster.

When a schedule's document could not be read, its row links the filing and names no holder, and one line over the Owners tab says so ("2 of 9 filings name no holder yet: the schedule's document was not read from EDGAR, so the row links the filing. Open the filing for the cover page, or Sync EDGAR to read the documents again.").

Where the data comes from

Everything comes from the SEC's public EDGAR archives for your company's CIK. The import is read-only: TakePublic downloads filed documents and nothing is sent to the SEC.

When it runs

The import runs automatically when your workspace is first activated. You can re-run it anytime with Sync EDGAR on the Insiders page; re-runs pick up newly filed forms, skip everything already imported, and reconcile the Form 3 rows they inform right away.

Note

If the first import fails (for example, EDGAR is briefly unavailable), TakePublic retries automatically within a day, and the manual import works immediately.

How long it takes

The import fetches each filed form from EDGAR one at a time, at the SEC's required request rate. A company with a long filed history takes longer. While it runs, the Insiders page shows how many of the filed forms have been read so far.
