What each role can do in the filing workspace.
Company users and company admins draft filings and run internal review. Only company admins (and platform admin) can send a filing to counsel review. Neither company role can sign off or submit to EDGAR.
Auditors work PBC requests, attach their deliverables (audit report, interim review report, and consent), and clear auditor review back to draft or forward to counsel review. A 10-K, 10-Q, 1-K, or 11-K cannot leave auditor review without the required deliverables on file. Counsel moves filings through counsel review, changes requested, and signed_off, and receives an email when a filing reaches their queue.
Directors see the filing workspace, calendar, and documents read-only. Their one action is recording the board's approval: a typed signature bound to the exact document version on 10-K and DEF 14A. The board acts under the company's bylaws and state law; TakePublic records evidence of that action. Directors cannot draft, sign off, or submit.
After counsel sign-off, a company admin can submit to EDGAR once the company's EDGAR credentials are verified in Settings. Platform admin can also submit when assisting.
For a 10-K or 10-Q, both officer certifications must also be on file. A director must record the board's approval against the current document hash before a 10-K or DEF 14A can be filed, whether or not the workspace already has a director seat. Invite a director before the deadline.
If the document changed after signing, submission is blocked until counsel signs again.
