Determine filer status

On the filer status review calendar entry, enter public float and optional revenue; the calculator suggests accelerated or large accelerated status with an audit trail.

Open the filer status review

Use the filer status review on the Compliance calendar.

  1. Open the Filer status review.
  2. Enter public float as of the last business day of fiscal Q2.
  3. Optionally enter the most recent audited annual revenue so the smaller reporting company revenue test can run.

How the calculator works

The calculator applies the SEC entry thresholds ($75M accelerated, $700M large accelerated) and exit hysteresis ($60M and $560M). When audited annual revenue is under $100M and float is under $700M, the smaller reporting company revenue test keeps the company non-accelerated. The result is a recorded suggestion with an audit trail, not an automatic settings change.

Confirm with counsel, then apply

When you apply the suggestion, TakePublic updates filer status in Settings and reschedules deadlines.

  1. Confirm the suggestion with your securities counsel.
  2. Select Apply to update the filer status.
