What verifying means

OTCIQ is OTC Markets' issuer portal. Companies on OTCQX, OTCQB and OTCID confirm their company profile there (officers and directors, address, shares outstanding, transfer agent, counsel, auditor) so the quote page keeps its Verified Profile mark.

This is an OTC Markets requirement, not an SEC one, and it is separate from the yearly EDGAR account confirmation.

How often

At least once every six months on OTCQX, OTCQB and OTCID alike. The calendar places a Verify OTCIQ profile row at the end of each fiscal half-year, moved to the next business day when that date is a weekend or holiday; due dates are shown in ET.

Note

After a change in control, OTC Markets asks for the profile to be updated and verified again right away, whatever the next scheduled date.

What to do

Verify in OTCIQ first, then record it here.

  1. Sign in to OTCIQ, open Manage Company Profile and choose Start under Verify Your Company Profile.
  2. Review each section: officers and directors, address and contacts, shares outstanding, transfer agent, counsel and auditor. Update what changed; where nothing did, tick I have verified all information on this page.
  3. Choose Submit Verified Profile. OTC Markets reviews the submission, usually within two business days, and the mark appears on the quote page.
  4. Back in TakePublic, open the row on the Company calendar and choose Mark as done.

TakePublic does not sign in to OTCIQ or post anything there; Mark as done records what you did.

What happens if you miss it

The Verified Profile mark leaves the company's quote page once the last verification is more than six months old.

  • A current verified profile is a requirement for continued qualification on OTCQX and OTCQB and a requirement of the OTCID rules, so OTC Markets can flag the company as non-compliant; its rules give 30 calendar days to cure before removal from the tier.
  • The calendar row reads Late until you mark it done, and the health score counts it.

Not the same as

The yearly EDGAR account confirmation is an SEC requirement, done by an account administrator on the EDGAR Filer Management dashboard; see Annual EDGAR account confirmation.

Where this comes from

OTCQX Rules for U.S. Companies and OTCQB Rules, each at section 2.2(F): the company must verify and update its Company Profile through OTCIQ.com at least once every six months. OTC Markets' Reporting Standards page lists the Company Verified Profile every six months for OTCQX, OTCQB and OTCID companies, and its Filing Instructions through OTCIQ give the steps above.
