What to do

Open the form on Filings: the card under the header is the step you are on, with one primary button and one line naming who it waits on.

  1. Read the card's task and press its primary button (Send to internal review, Send to counsel, Review required signatures, Run simulated submission, or the step's own verb); there is at most one secondary.
  2. Or read the one quiet line under it, which says who the step waits on, where it stands and what the step is: "Yours to continue · Check the rows against the trade, then send it to your team.", "Yours to review · ...", "Waiting on counsel · ...", "Waiting on EDGAR · ...".
  3. Select any other step's marker in the strip to read one line about it: what a done step recorded ("Counsel signed off on this version.") or the sentence that unlocks an upcoming one ("Starts when the draft is sent to your team."), with Open and where its work is on the page (the form, Who signs off or the Submission section) when it is on screen.
Note

Nothing about the other steps is on screen until asked. The strip shows a check for a done step, its number otherwise, and the current step's label; on a phone only that label shows, or the last step's once every step is done.

Once counsel signs off, the one line names everything the send still waits on, so the submit button carries no second line saying it; the line is left out once the form is filed.

Who acts at each step

Hover a step's marker in the strip to read who acts there in one sentence: the company checks the form's rows, the team and counsel review it, counsel signs off, the reporting person signs, and a company admin sends the form to EDGAR. The strip is the one progress line; no second lifecycle rail sits under the card. A TEST acceptance reads as such on the card; a rejection keeps EDGAR's words and the reopen path.

Before submission

After counsel signs off, Before submission under the step card lists each requirement the send waits on as one row: its status (Needed or Complete), the person, one short line and Open. On a Form 3, 4 or 5 those are the reporting person's signature, their EDGAR codes and their delegation to TakePublic.

  • The signature row's Open shows, in place, where the signing link went, when it expires, whether the ink page is on file, and Send a fresh code.
  • When the link went out is the person's row under Who signs off, with Remind. Once they sign, their signed record, like counsel's sign-off record, opens from Details on their row.
  • View submission status is a text link.

Delete a draft started by mistake

A company admin removes a filing that never reached EDGAR from the step card's menu: Delete draft. It works at any stage before EDGAR, through counsel's sign-off, and is kept on record as deleted by the company; the Filings list hides it and the deadline it answered goes back to open.

A filing with a live EDGAR attempt cannot be deleted: it is part of the record, and the next step is an amendment. A Form 4 that came from a recorded transaction answers that trade, so check the trade itself before deleting its draft.

Add a footnote to a Form 3, 4 or 5

Open the line in the draft's form table and type the note in its Footnote cell, up to 1,000 characters; the form numbers it and files it with the line. The draft's Footnotes row lists every footnote the form files, including the ones TakePublic adds itself, such as a Rule 10b5-1 plan's adoption date.

Two people on one draft

Nothing locks a draft: two people can have it open and edit it. Each line saves on its own, so when both change the same line, the one saved last is what the form files. Every change is in the audit trail under the name of the person who made it, and an edit after counsel signs off needs counsel to sign again.
