Forms you can start in TakePublic
Every form the New filing picker offers, what your plan does with each, and how to track a filing TakePublic does not draft.
Drafted and filed here
The picker offers the forms TakePublic drafts, routes through your securities attorney, and transmits to EDGAR. Monitor tracks their deadlines without drafting; Section 16 drafts Forms 3, 4, and 5.
- Form 3: Initial ownership statement, due 10 calendar days after becoming an insider.
- Form 4: Insider transaction report, due within 2 business days.
- Form 5: Annual ownership changes, due 45 calendar days after fiscal year end.
- Amendments (Form 3/A, Form 4/A, Form 5/A) start the same way and link to the original filing.
- A Form 3, 4 or 5 prepared elsewhere: Upload a Form 3, 4 or 5 takes the file and TakePublic checks it and files it (see Upload a Form 3, 4 or 5 you already have).
Tracked only
Some entries start a deadline clock on your Company calendar without a draft. TakePublic never drafts or files these; EDGAR marks the row satisfied when the filing appears.
- Schedule 13D / 13G: Beneficial ownership report after a 5% crossing, filed by the holder under their own EDGAR codes. Logging the crossing starts the 13D or 13G deadline clock.
- Form 144: the broker's sale notice for a restricted or control stock sale, tracked from EDGAR.
- Comment letters (CORRESP): staff correspondence tracked from EDGAR; your counsel files the response.
- EDGAR Next confirmation and Form ID: the company's EDGAR access paperwork, recorded in Settings › EDGAR, never filed from here.
- Form 3 and Form 4 on Monitor: the clock starts and your existing agent or counsel files.
- Form 8-K on Monitor and Section 16: Report an event on Filings, or the 8-K card in Add to calendar, records the event date and items; the row is due four business days later, with reminders, and your agent files it.
Track something else
Anything the picker does not draft still belongs on your calendar, and anyone who adds to the calendar can put it there; nothing is drafted or filed.
- A filing handled outside TakePublic: Pick the form and its due date. The calendar clock starts, and EDGAR marks it satisfied when the filing appears.
- A custom obligation: Anything with a date: a state notice, a covenant deliverable, a board deadline, an OTC certification. You mark it done.
